Overview: This Terms and Agreement ("Agreement") outlines the terms and conditions under which Resilient New Media, a division of In-Houze Productions Inc. ("Company"), will provide website building and hosting services ("Services") to you ("Client"). By engaging the Company for Services, the Client agrees to the terms set forth in this Agreement.

1. Products Provided

1.1 Website Build and Hosting:

The Company will build a 5-page website for the Client. The pages typically include: Home, Contact, and three pages specific to the Client's needs.
The website will include three forms: Contact, Newsletter, and Call to Action (CTA).

One calendar will be set up and integrated into the Client's existing calendar, including a standard email confirmation for appointments booked and one reminder email on the morning of the appointment.

1.2 Website platform inclusions:

Surveys & Forms: Unlimited surveys and forms to gather feedback and collect data.
Email Marketing:Integrated tools for email campaigns, newsletters, and automated email sequences.
2-Way SMS Marketing:Support for sending and receiving text messages. SMS is at client cost and is responsible for "wallet"
Workflow Automations:Setup and management of workflow automations to enhance productivity.
Course/Product Hosting:Hosting for courses and digital products with secure access.
Communities:Features for creating and managing online communities.
Document Signing:Electronic document signing capabilities.

2. Project Timeline

2.1 Project Milestones

Wireframe and Look & Feel:Delivered within 10 business days from the start date.
Template and Structure:Delivered by day 15.
Review and Automations:Final review and automation setup completed by day 22.

2.2 Communication and Review:

Onboarding Call:A 60-minute call to discuss look, feel, and purpose.
Review Call:A 60-minute call to review progress.
Final Review and Testing Call:A 60-minute call for final review and testing before going live.

3. Payment Terms

3.1 Service Fee:

The total cost for the website program is $4,495.

3.2 Payment Schedule:

An initial deposit of $2250 (50% of the total fee) is due at the start of the project.
The remaining balance of $2245 is due upon completion of the project, prior to the final handover of the website.
Payments to reflect product price and where discount may apply.

3.3 Monthly Hosting Fee:

A monthly hosting fee of $125 or $295 will be charged.

3.4 Additional Fees:

Building of newsletters and additional commerce products beyond the initial six items are subject to an additional fee of $50 per hour or ecommerce item.

4. Client Responsibilities

4.1 Timely Feedback and Approvals:

The Client agrees to provide timely feedback and approvals at each project milestone to ensure the project timeline is maintained.

4.2 Content and Materials:

The Client is responsible for providing all content, images, and materials required for the website in a timely manner.

5. Revisions

5.1 Revision Policy:

The project includes up to three rounds of revisions during the design phase. Additional revisions will be billed at an hourly rate of $100.

6. Support and Maintenance

6.1 Technical Support:

Technical support is available at a rate of $50 per hour.

6.2 Bi-Monthly Review Calls:

A 30-minute call bi-weekly to review updates is included.

6.3 Support Request Board:

The website includes a tech support request board for submitting and tracking support requests.

7. Warranty and Liability

7.1 Website Warranty:

The Company provides a 30-day warranty period from the date of final handover. During this period, any bugs or issues related to the original scope of work will be fixed at no additional charge.

7.2 Limitation of Liability:

The Company’s liability for any claim arising under this Agreement shall not exceed the total amount paid by the Client for the Services.

8. Cancellation and Termination

8.1 Cancellation by Client:

The Client may cancel this Agreement with 30 days written notice. The Client will be responsible for payment for all work completed up to the date of cancellation.

8.2 Termination by Company:

The Company may terminate this Agreement if the Client fails to make payments or breaches any other term of this Agreement.

9. Force Majeure

9.1 Force Majeure:

The Company shall not be liable for any delays or failure in performance due to circumstances beyond its reasonable control, including but not limited to internet disruptions and electrical outages.

10. Governing Law

10.1 Jurisdiction:

This Agreement shall be governed by and construed in accordance with the laws of [State/Province], [Country]. Calgary Alberta Canada

11. Entire Agreement

11.1 Agreement:

This Agreement constitutes the entire agreement between the parties and supersedes all prior agreements or understandings, whether written or oral, relating to the subject matter herein.

By engaging the Services of Resilient New Media Inc., the Client acknowledges that they have read, understood, and agree to be bound by the terms and conditions of this Agreement.
